Terms of Sale

These terms and conditions (“Agreement”) apply to Customer or Customer’s Company’s (“Customer”) order and purchase of any products and/or services of Standpointe Solutions Inc. (collectively the “Services”)

Customer accepts the terms and conditions of this Agreement, in addition to and in conjunction with any separate service agreement, if any, signed by the Customer and Standpointe Solutions Inc. (“Service Agreement”). In the event of any inconsistency between this Agreement and the terms of the Service Agreement, then the Service Agreement shall prevail between the parties. Standpointe Solutions Inc. may, from time to time and at its sole option, revise this Agreement without notice by posting the revised Agreement on its web site. The Agreement posted on Standpointe Solutions Inc.’s web site at the time Standpointe Solutions Inc. accepts Customer’s order will govern that purchase of any Services.

Accuracy of Data/Corrections. Standpointe Solutions Inc. may obtain certain data directly from the manufacturer, publisher or supplier of related products or services and is not responsible for pricing, typographical or other errors in any such data. In addition, availability of third party products or services is subject to change without notice. Standpointe Solutions Inc. reserves the right to cancel orders related to such errors or product discontinuation or unavailability, and to correct this web site at any time, including pricing errors not detected until after Standpointe Solutions Inc.’s confirmation or e-mail response.

Prices/Payment Terms. Prices are subject to change at any time prior to Standpointe Solutions Inc.’s acceptance of Customer’s order. Payment terms are at Standpointe Solutions Inc.’s sole discretion and all orders are subject to Standpointe Solutions Inc.’s credit approval. Customer must provide appropriate credit references upon request and authorize us to obtain credit history from such references. Customer agrees to pay the total purchase price for the Services, plus tax and shipping, if applicable. Invoices are due and payable within the time frame and in the currency specified on the invoice, measured from the date of invoice. Customer agrees to pay interest on all past-due amounts at the lower of one and one-half percent (1.5%) per month or the maximum rate allowed by law. Customer will be responsible for Standpointe Solutions Inc.’s costs of collection for any payment default, including, but not limited to, court costs, filing fees and attorneys’ fees. In addition, if payments are not received as described above, Standpointe Solutions Inc. reserves the right to suspend further deliveries or services until payment is received.

Taxes. Federal, provincial, state and local sales, use and excise taxes and all similar taxes and duties are solely Customer’s responsibility.

Delivery/Title/Risk of Loss. Standpointe Solutions Inc. will use commercially reasonable efforts to meet requested delivery times but does not guarantee delivery by a stated time and is not responsible for any damages due to delays or the failure to meet a stated delivery schedule. Notwithstanding anything to the contrary in this paragraph, title to software Services always remains with Standpointe Solutions Inc and any software delivery occurs when it is first made available by Standpointe Solutions Inc. for Customer’s use.

Third Party Services. Certain related Services( i.e.hosting) may be provided by third parties (“Third Party Services”). In the case of Third Party Services, the third party shall be considered the contracting party, not Standpointe Solutions Inc., and the third party shall be the party responsible for providing the services to Customer. Customer will look solely to the third party for any loss, claims or damages arising from, or related to, the provision of such Third Party Services. Customer specifically releases Standpointe Solutions Inc. from any and all claims arising from or relating to the purchase or provision of any such Third Parties Services.

Limited Warranty. SERVICES ARE PROVIDED ON AN “AS IS” BASIS WITHOUT WARRANTY BY STANDPOINTE SOLUTIONS INC. OF ANY KIND, EITHER EXPRESS OR IMPLIED. Standpointe Solutions Inc. shall pass through to Customer, to the extent available, any manufacturer’s/publisher’s/supplier’s written warranties associated with third party Products or Services purchased from Standpointe Solutions Inc. Standpointe Solutions Inc. accepts no liability for any claims arising out of any act or omission, including negligence by the third-party service provider; and any amounts associated with Third Party Services. Services produced solely by Standpointe Solutions Inc. are provided with only those warranties expressly set forth in the Standpointe Solutions Inc. product/service specification. Customer’s sole remedy and Standpointe Solutions Inc’s sole obligation for breach of this warranty will be reasonable efforts to correct any non-conformance or, if this cannot be accomplished, then Standpointe Solutions Inc. will issue Customer a credit for, or a refund of, the purchase price paid for the applicable Services provided to Customer.

Disclaimer of Warranty. THE FOREGOING WARRANTIES ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, AND CUSTOMER’S SOLE AND EXCLUSIVE REMEDIES. STANDPOINTE SOLUTIONS INC. DISCLAIMS ALL OTHER WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR ARISING FROM A COURSE OF DEALING, USAGE OR TRADE PRACTICE, OR ANY WARRANTY RELATING TO THIRD PARTY SERVICES. No agent or employee of Standpointe Solutions Inc. or any other party is authorized to make any warranty in addition to those made in this Agreement.

Limitations on Use. Customer agrees and represents that Customer is buying the Services for Customer’s own internal use and not for resale. SERVICES OFFERED BY STANDPOINTE SOLUTIONS INC. ARE NOT DESIGNED FOR USE IN LIFE SUPPORT, LIFE SUSTAINING, NUCLEAR SYSTEMS OR OTHER APPLICATIONS IN WHICH FAILURE OF SUCH SERVICES COULD REASONABLY BE EXPECTED TO RESULT IN PERSONAL INJURY, LOSS OF LIFE OR CATASTROPHIC PROPERTY DAMAGE. USE IN ANY SUCH APPLICATIONS IS AT CUSTOMER’S SOLE RISK.

Limitation of Liability. STANDPOINTE SOLUTIONS INC. WILL NOT BE LIABLE TO CUSTOMER FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF INCOME, PROFITS, DATA, OPERATIONAL EFFICIENCY, USE OR INFORMATION, ARISING UNDER THIS AGREEMENT REGARDLESS OF THE FORM OF ACTION OR THEORY OF RELIEF, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Any liability for direct damages arising under this Agreement, regardless of the form of action or theory of relief, is limited to the purchase price of the Services provided to Customer. No action arising out of the transactions under this Agreement may be brought by Customer more than one (1) year after the damage, loss or expense occurred. Standpointe Solutions Inc. is not liable for any claim made by a third party or made by Customer for a third party.

Termination. Customer may cancel the Services only in accordance with terms indicated in Customer’s Service Agreement, or failing same upon the mutual consent of the parties.

Governing Law and Venue. This Agreement will be governed by the substantive laws of the province of Quebec, Canada without giving effect to any choice of law rules. The United Nations Convention on Contracts for the International Sale of Goods will not apply to this Agreement. Customer are responsible for compliance with local laws, if and to the extent local laws are applicable. Both parties to this Agreement specifically agree to submit to the exclusive jurisdiction of, and venue in, the courts in Montreal, Quebec, in any dispute arising out of or relating to this Agreement

Assignment. Standpointe Solutions Inc. may assign or subcontract all or any portion of its rights or obligations with respect to the sale of Services and/or assign the right to receive payments without Customer’s consent. Customer may not assign this Agreement or any of its rights or obligations without the prior written consent of Standpointe Solutions Inc. Subject to the restrictions in assignment contained in this provision, this Agreement will be binding on and inure to the benefit of the parties hereto and their successors and assigns.

Force Majeure. Standpointe Solutions Inc. will not liable for failure to fulfill its obligations under this Agreement or for delays in delivery or performance due to causes beyond its reasonable control. Standpointe Solutions Inc.’s time for performance of any such obligation will be extended for the time period of such delay, or Standpointe Solutions Inc. may, at its options, cancel any order or remaining part thereof, without liability, upon notice to Customer.

Miscellaneous. No provision of this Agreement may be waived, amended or modified by either party except by a written agreement signed by both Customer and Standpointe Solutions Inc. Any delay or failure by either party to exercise any right or remedy will not constitute a waiver of that party to thereafter enforce such rights. The relationship between Standpointe Solutions Inc. and the Customer is that of independent contractor and not that of employer/employee, partnership or joint venture. If any part of this Agreement is found by a court of competent jurisdiction to be invalid, illegal or unenforceable, all other parts will still remain in effect. Notices to be provided under this Agreement must be in writing and will be deemed received upon the earlier of: 1) actual receipt; 2) three (3) days after mailing, if mailed postage prepaid by regular mail or airmail; or 3) one (1) day after such notice is sent by courier or facsimile transmission.

Entire Agreement. This Agreement, together with the separate Service Agreement, if any, constitutes the entire agreement between the Customer and Standpointe Solutions Inc. and supersedes and replaces any previous communications, representations or agreements.

Acceptance: by using this Site, Customer acknowledges that the Customer has read and agrees to be bound by these Terms. If Customer does not want to agree to these Terms, Customer must not access or use the Site.

Changes: Standpointe Solutions Inc. may modify these Terms and the content on this Site at any time without notice. All changes are effective upon posting and apply to all access to and use of the Site thereafter. Customer is expected to check the Site periodically so Customer is aware of changes and current terms because they are binding on Customer.

Access and use restrictions: Standpointe Solutions Inc. grants Customer a limited license to access and use the Site to better understand the Services offered by Standpointe Solutions Inc. and provided Customer does not:

Copy, modify, distribute, download, display, transfer, post or transmit the Site or its contents in any way for any public or commercial purpose.
Use this Site to engage in any action that could disable, overburden, damage, impair or interfere with the functioning of the Site or any other party’s use of the Site.
Use any robot, spider, automatic device, manual or automated process or other means to access the Site, the server or servers on which the Site is stored, or any server, computer or database connected to the Site for any unauthorized purpose, such as the monitoring, collection or copying of material on the Site, including but not limited to prices, product listings and descriptions.
Use this Site to post or transmit any information that infringes intellectual property rights, or any unlawful, illegal, obscene or pornographic information of any kind, including, without limitation, any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, national or international law.

Standpointe Solutions Inc. reserves the right to terminate or suspend Customer’s access to all or part of the Site immediately and at any time for any or no reason, including any violation of these Terms.

Intellectual property rights: The materials contained on this Site are protected by copyright, and any unauthorized use of any of these materials may violate copyright, trademark and other laws. No right, title or interest in or to the Site, any content on the Site, or any services or processes or technology described on this Site is transferred to Customer, and all rights not expressly granted are reserved by their respective owners. Customer must retain all copyright, trademark and other proprietary notices contained in any materials on any copy of materials from this Site.

Links to third-party sites: This Site may contain links to third-party sites, which are provided for Customer’s convenience only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from Customer’s use of them. Access to any third party websites linked to this Site is at Customer’s sole risk and subject to the terms and conditions of use for such websites.

User postings and communications: Standpointe Solutions Inc. reserves the right, but is not obligated, to monitor or review the content and postings of user messages or other user contributions or communications submitted, displayed or transmitted on this Site in its sole discretion. Customers have full responsibility for content Customer’s submit, including its legality, reliability, accuracy and appropriateness. Standpointe Solutions Inc. bears no liability related to the content or accuracy of any such messages and retains the right to remove messages that include any material deemed abusive, defamatory, obscene or otherwise unacceptable and take any action deemed necessary or appropriate if Standpointe Solutions Inc. believes such communications violate these Terms or could create liability for Standpointe Solutions Inc. Without limiting the foregoing, Standpointe Solutions Inc. has the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Site. CUSTOMER WAIVE AND HOLD HARMLESS STANDPOINTE SOLUTIONS INC. FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY STANDPOINTE SOLUTIONS INC. DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER STANDPOINTE SOLUTIONS INC. OR LAW ENFORCEMENT AUTHORITIES.

Disclaimer: Standpointe Solutions Inc. makes reasonable effort to present content on its Site accurately, but does not guarantee the accuracy or completeness of all posted information. Standpointe Solutions Inc. cannot and does not guarantee or warrant that files available for downloading from the Internet or the Site will be free of viruses or other destructive code. Customer are responsible for implementing sufficient procedures and checkpoints to satisfy Customer’s particular requirements for anti-virus protection and accuracy of data input and output, and for maintaining a means external to our Site for any reconstruction of any lost data. Content on this Site is provided “AS IS” and “AS AVAILABLE” basis, without warranty of any kind, express or implied, including but not limited to any warranties of merchantability, fitness for a particular purpose, title or non-infringement. BE LIABLE FOR ANY DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH CUSTOMER’S USE, INABILITY TO USE, OR THE RESULTS OF THE USE OF, THIS SITE OR ANY WEBSITE LINKED TO THIS SITE, OR THE CONTENT CONTAINED ON THIS SITE OR ANY OTHER SUCH SITE, INCLUDING DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, SUCH AS DAMAGES FOR LOSS OF PROFITS, USE, DATA, BUSINESS OR REVENUE, EVEN IF FORESEEABLE OR IF STANDPOINTE SOLUTIONS INC. Compliance with law: If Customer access this Site from outside Canada, Customer IS responsible for compliance with local laws. Customer may not use the Site or export or re-export the materials, software or services contained on or made available through this Site in violation of Canadian export laws and regulations.

Governing law and jurisdiction: All matters relating to the Site and these terms and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims),shall be governed by and construed in accordance with the internal laws of the Province of Quebec, Canada without giving effect to any choice or conflict of law provision or rule. Any legal suit, action or proceeding arising out of, or related to, the Site or these terms shall be instituted exclusively in the City of Montreal, Quebec. However, Standpointe Solutions Inc. retains the right to bring any suit, action or proceeding against Customer for breach of these Terms in Customer’s country of residence or any other relevant country. Customer waives any and all objections to the exercise of jurisdiction over Customer by such courts and to venue in, such courts.

Privacy: Customer’s use of this Site is governed by our Privacy Policy found at www.standpointe.com/content/Standpointe Solutions Inc.-web/en_US/help/privacy-policy.html , and Customer consent to all actions we take with respect to Customer’s information consistent with our Privacy Policy.
